AFFILIATE & PARTNER PROGRAM AGREEMENT

Purpose
This Agreement governs participation in the Teaching Made Fun Affiliate & Partner Program.
Scope & Relationship
- Independent contractor relationship only
- No partnership, agency, or employment relationship
Prohibitions
Partners may not:
- Alter pricing or official offers
- Make medical, therapeutic, or developmental claims
- Guarantee outcomes or earnings
- Represent themselves as speaking on behalf of the Company
Eligibility & Enrollment
- Participation is subject to Company approval
- Partners may be removed at Company discretion
Compensation, Payments & Taxes
- Commission Rate: 40% of net revenue
- Payouts: Monthly after refund window
- Clawbacks: Apply to refunds, disputes, and chargebacks
- No Guaranteed Earnings
- Taxes: Partner responsibility; 1099-NEC issued as required
Marketing Rules & FTC Compliance
- Clear affiliate disclosures required
- Prohibited activities include:
- Bot or automated traffic
- Spam or misleading promotions
- Child-directed marketing
School / Church Sensitivity
- Participation must be voluntary
- No handling of student data
Intellectual Property & Brand Use
- Limited, revocable license for approved use only
- No logo modification or misleading representations
Data Ownership & Non-Solicitation
- All customer data belongs to Teaching Made Fun
- No reuse, export, or solicitation of customers
Confidentiality
All non-public Company information is confidential.
Termination
- Either party may terminate at any time
- Clawbacks survive termination
Indemnification
Partner agrees to indemnify Teaching Made Fun for violations of this Agreement.
Limitation of Liability
Liability is capped at commissions paid during the prior six (6) months.
Assignment
Partners may not assign or transfer this Agreement without written consent.
Governing Law & Dispute Resolution
- Florida law governs
- Arbitration in Pasco County, Florida
- Injunctive relief available for IP or confidentiality violations
Entire Agreement
This Agreement constitutes the entire agreement regarding the Affiliate Program and supersedes all prior communications.
Severability
Invalid provisions do not affect remaining terms.
INFLUENCER & CREATOR PARTNER RULES
- Independent Contractor & Tax Liability: Partner acts exclusively as an independent contractor, not an employee of Teaching Made Fun, Inc. Partner acknowledges they are solely responsible for reporting and paying any applicable local, state, or federal taxes on commissions earned.
- FTC Compliance & Endorsements: Partner agrees to fully comply with all Federal Trade Commission (FTC) guidelines regarding online endorsements. Partner will clearly and conspicuously disclose their financial relationship with Teaching Made Fun (e.g., using #ad, #partner, or #sponsored) in all posts, videos, emails, and articles that include an affiliate link.
- Brand Safety & Morals Clause: Partner agrees to represent the Teaching Made Fun brand with integrity. The Company reserves the right to immediately terminate the partner account and forfeit unpaid commissions if Partner engages in illegal activity, hate speech, or publishes content that conflicts with the family-safe, restorative values of the brand.
- Content Usage & Licensing (UGC): Partner grants Teaching Made Fun, Inc. a perpetual, worldwide, non-exclusive, royalty-free license to repost, share, alter, and utilize any public content created featuring our products for the Company’s own digital marketing, website, and social media channels.
- Commission Tracking & Attribution: Earnings are based on a 40% direct commission rate. Sales are attributed solely via designated affiliate links and cookie tracking durations. The Company is not legally responsible for missed commissions due to bypassed links or cleared cookies.
